Constitution
1.01 A term of membership in the Newfoundland & Labrador 5 Pin
Bowlers' Association shall be the recognition and acknowledgement by persons
applying that the Association shall be deemed the highest ranking Association
for 5 Pin Bowling in Newfoundland & Labrador. Being the
Representative, Legislative and Executive Association for all 5 Pin bowling in

who are firstly existing members in good standing of a Zone Bowling Association

Association, but does not have any voting privileges unless it is functioning

2.01 If the Board of Directors of the Association accepts the application at the Annual Meeting, then the new Zone shall be entitled to all the rights and privileges and responsibilities of the membership in the Association.
3.01 (a) A fee for individual membership in the Association will be paid to the respective Zone Associations through a recognized Local Zone League, or in the event of no Local Zone, it will be paid directly to the Provincial Association Treasurer.
(b) The Board of Directors of the Association shall establish lane bed fees at the Annual Meeting.
(c) To register members in the Association, the Zone Association will

(d) The individual membership fees will also be determined at the Annual Meeting of the Association, or failing that, shall be determined by the individual Zone Association.
3.02 Zone Associations whose membership accounts are not paid promptly shall be referred to the Executive Officers of the Association, who shall follow the rules contained in this Article. If necessary, in the opinion of the Executive Officers of the Association, seriously delinquent accounts shall result in suspension of voting privileges.
3.03 Lane bed fees must be paid in two installments. The first
installment (which is half) to be paid by November 30 th
and the second half paid by February 28th, of each year.
Failure to do so will result in that Zone not being permitted to take part in
any 5 Pin Tournaments run by the
3.04 All individual tournament fees shall be approved by the Board of Directors of the Association at the Annual Meeting for the next bowling season. Should the OPEN contingent fee increase or decrease due to a change in Travel cost to the National Tournament, the Provincial Executive will increase or decrease the Zone Association contingent fee proportionately, based on the number of participants from each Zone Association in the Provincial OPEN tournament.
3.05 Tournament fees shall be paid prior to the start of the respective tournament. Failure to pay as stated, will result in that Zone Association not being permitted to take part in that or future 5 Pin Tournaments. Full payment will result in immediate reinstatement.
3.06 The OPEN Zone Association Contingent fees shall be paid as per the following schedule:

Failure to pay as stated, will result in that Zone Association not being permitted to take part in that or future 5 Pin Tournaments.
3.07 A 10% interest charge per month, on the balances owing will be charged to any Zone Association not paid by April 30th.
3.08 All Zone Associations shall pay the National KHP assessment
proportionately based on the number of Zones registered as members of
4.0 (a) Annual General Meetings of the Newfoundland & Labrador 5 Pin Bowlers' Association shall be held at least once a year around mid September (if possible) every year, at such time and place as determined by the Provincial Executive.
4.02 The President shall call a Special Meeting in cases of emergencies or upon written requests from at least five (5) recognized Zone Associations.
4.03 The Secretary of the Association shall notify all Zone Presidents and Executive Members of the Association of all Annual, Semi Annual, and/or Special Meetings, giving a minimum thirty (30) days written notice, specifying the day, hour and place of said meeting.
4.04 Irregularities in the notice given for any Meeting, or in the giving thereof, or the accidental omission to give notice of any meeting, or the non-receipt of such notice by any member or members, shall not invalidate any resolution passed or any of the proceedings taken at any such meeting.
4.05 (a) A quorum for transaction of business at any Annual, Semi-Annual or Special Meeting shall be a minimum of ten (10) voting members of the Board of Directors of the Association.
(b) A quorum for transaction of business at any Executive Meeting/Conference Call shall be 3 members of the Provincial Executive.
4.06 The regular order of business at all general meeting shall be as follows:

4.07 Questions, when put in the form of a motion, duly seconded, will be decided by a majority vote. The President or in his/her absence, the 1st Vice President, or in their absence the 2nd Vice President, shall cast the deciding vote in the case of a tie.
4.08 Should the President, 1st
or 2nd Vice President, not be in attendance at the Annual, Semi
Annual, or Special Meeting within fifteen (15) minutes after the appointed
time, the members present may choose another Director to take the chair.
5.01 All votes taken at a meeting shall be open votes (show of hands) except in the case of Election of Officers or on any question where the Board of Directors agree by majority vote that voting shall be a secret ballot.
5.02 (a) Each recognized Zone Association shall be allowed one (1) vote for each delegate present.
(b) One (1) vote allowed to each Provincial Executive Officer.
(c) One (1) vote allowed to the President with a second vote allowed only if required to break a tie.
(d) One(1) vote each to the M.B.A. President and their additional representative, pertaining to Technical matters only. Should the M.B.A. President be unable to attend they may pass their vote to another M.B.A. member provided written notice is given to the secretary of the NL5PBA.
6.01 The property, business
and affairs of the Newfoundland & Labrador 5 Pin Bowlers' Association shall
be managed by the Board of Directors composed of the two (2) Representatives
from each Zone Association, which is a member of the Association, Provincial
Executive Officers and two (2) Representatives of M.B.A. of Newfoundland and
6.02 Directors shall receive no remuneration for being a member of the Board, but a Director may receive any reasonable reimbursements for expenses incurred by a Director from the Zone he/she represents, not from the Provincial Association.
6.03 The Minutes of the Annual, Semi Annual, and Special Meetings can be provided to the General Membership and the Board of Directors of the Association, but shall be available to the Presidents of each Zone Association, each of whom shall receive a copy of all such Minutes, and can provide a copy to the Directors and Members within their Zone.
6.04 At all Meetings of the Board of Directors of the Association, every seconded motion shall be decided by a majority of votes, unless otherwise specifically provided by statute or by these By Laws.
6.05 The Board of Directors of the Association shall:
(a) Determine all matters of Policy, Procedure and Format relating to the Association and its members.
(b) Carry out those powers and duties on behalf of the Association, not specifically assigned to the Association's Executive Officers.
6.06 No formal communication, News Release or Statement shall be made by any member of the Board of Directors, Executive Officers or employees of the Association about any matter discussed at an Annual, Semi Annual or Special Meeting of the Association, or about any matter discussed during the operation of the Association without approval of the Executive Officers. A Press Release will be issued following the Annual Meeting.
6.07 The Board of Directors shall appoint an Official Auditor and they shall be required to provide a written opinion of all monies collected and disbursed by the Association.
7.01 The Executive Officers of the Association will be the President, 1st Vice President, 2nd Vice President, Secretary, Treasurer, and Immediate Past President (initial year only).
7.02 Whenever an Executive Officer's post is filled by a Zone Delegate, said Delegate would be replaced by another from that Zone.
7.03 The Executive Officers must be elected by the Board of Directors at the Annual General Meeting, except for the immediate Past President.
7.04 During the time when the Board of Directors is not in session, the Executive Officers shall have and exercise all power granted to the Association by the By - Laws, except that it shall have no power to alter, adopt, rescind or nullify any part or provision of the By - Laws of the Association.
7.05 No Proprietor or Co-Proprietor or Manager of a bowling facility can be elected as an Executive Officer.
EXECUTIVE OFFICERS-TERM OF OFFICE
8.01 The President, 1st and 2nd Vice Presidents, Secretary, Treasurer shall be elected to office for a two (2) year term. The 1st Vice President and the Treasurer shall be decided on alternate years from the President, 2nd Vice President and the Secretary.
9.01 The Executive Officers shall have full power to hear and determine all protests and violations of the Rules and Regulations of the Association and shall have power to suspend, expel, or otherwise discipline any bowler, league, or any Organization affiliated with the Association. For determining all such matters, the Executive Officers may issue to the several parties and witnesses, it citation to appear at the Hearing with records and all papers involved in the case. Failure to attend the Meeting could result in automatic suspension until attendance at a subsequent Meeting.
9.02 Meetings of the Executive Officer's may be held at any time and place to be determined by the Executive Officers, provided that verbal notice of at least two (2) days is provided to each Executive Officer, provided there is at least three (3) Meetings per year of the Executive Officers.
9.03 The Executive Officers shall supervise, manage, conduct and control all tournaments held by the Association or by its direction and shall have the power to change the location of such tournament, if at any time the City, person or Association to whom such sanction, grant or privilege was given, shall default in any of the terms, conditions or provisions of such sanctions, grants, or privileges.
9.04 The Executive Officers may appoint an Executive Director at a salary to be determined by the Executive Officers. Such Executive Director shall not have a vote at any Meeting of the Association.
9.05 The Executive Officers shall take such steps as they may deem requisite to enable the Association to acquire, solicit, or receive legacies, gifts, grants, settlements, requests, endowments and donations of any kind whatsoever for the purpose of furthering the objects of the Association.
The Executive Officers shall have the power to authorize expenditures on
behalf of the Association from time to time and may delegate by resolution to
an Officer or Officers of the Association, the right to employ and pay salaries
to employees. The Executive Officers shall have the power to make expenditures for
the purpose of furthering the objects of the Association.
EXECUTIVE OFFICERS AND TECHNICAL DIRECTOR'S OFFICIAL DUTIES
10.01 Duties of the Past President
(a) Shall be an Officer of the Association with full voting privileges for the initial year only.
(b) Shall act in an advisory capacity to the President

10.02 Duties of the President
(a) Shall preside at all Meetings of the Association and Board of Directors.
(b) Shall be charged with the General Management and Supervision of the affairs and operations of the Association.
(c) Shall sign warrants drawn on the Treasury and ordered paid by the Board of Directors.
(d) Shall perform such other duties as pertain to his/her Office and shall make a written report with his/her recommendations at each Annual General Meeting of the Association.
(e) Together with the Secretary or Treasurer shall sign all By Laws and Constitutions.
(f) During elections the President shall exercise his/her vote.
(g) Shall be Executive Officio Officer of all committees.
(h) Shall uphold the Constitution of the

(j) Shall be a liaison with the host committee and oversee all aspects of the Provincial OPEN Tournaments.
(k) Shall appoint a Nominating Chairperson for all Elections of Officers.
10.03 Duties of the 1 st Vice President
(a) Shall have such powers and perform such duties as may be assigned to him/her by the Executive Officers of the Board of Directors.
(b) In the absence or disability of the President, he/she shall exercise the powers and perform the duties of the President. If the 1st Vice President exercises any such duty or power, the absence or disability of the said President shall be presumed.
(c) Shall uphold the Constitution of the

10.04 Duties of the 2nd Vice President
(a) Shall have such powers and perform such duties as may be assigned to him/her by the Executive Officers of the Board of Directors.
(b) In the absence or disability of the President and 1st Vice President, he/she shall exercise the powers and perform the duties of the President. If the 2nd Vice President exercises any such duty or power, the absence or disability of the said President and 1st Vice President shall be presumed.

(e) Shall be the liaison with the host committee and oversee all aspects of the Provincial Youth Challenge and bowl for sun Tournament.
10.05 Duties of the Treasurer
(a) Shall keep a full and accurate account of all receipts and disbursements of the Association in proper books of account.
(b) Shall render to the Executive Officers and Board of Directors, whenever directed, an account of the financial condition of the Association.
(c) Shall submit to the Board of Directors as soon as possible after the end of the fiscal year, an Audited Statement of the financial condition of the Association.
(d) Shall supply a copy of the Audited Financial Statement to each of the recognized Zone Associations.
(e) Shall present an Annual Statement to the Annual General Meeting of the Association. This, of course, can be amended if it is impossible to do so at a particular time.
(f) Shall prepare a budget of the next bowling season's revenue and expenses and shall present same for approval, by the Board of Directors, at each year's Annual General Meeting.
(g) Shall ensure Accounts Receivable and Payable are in current position.
(h) Shall uphold the Constitution of the
(i) Shall follow the rules of the Canadian 5 Pin Bowlers' Association and promote the sport of bowling at all times.
(j) Shall be the liaison with the host committee and oversee all aspects of
the Provincial Hi-Low Doubles Tournament.
(a) Shall be an Executive Officio Member of all Committees.
(b) Shall keep and have charge of records of the Association, including books pertaining to names and addresses of members, etc.
(c) Shall notify all Zone Presidents and Association Executive Members of all Annual, Semi Annual and Special Meetings, giving a minimum of thirty (30) days written notice and specifying the day, the hour and the place of said meeting.
(d) Shall submit a copy of the Minutes of any General Meeting to all of the Zone Presidents as well as the Executive Officers.
(e) Must record the scores and the results of specific In House Tournament
Finals as well as all Provincial Championships. In order to keep an accurate
record of these tournaments, the Secretary must receive from the Zones or
Tournament Director, all individual scores and team scores from specific
Tournaments run by the Newfoundland and Labrador 5 Pin Bowlers' Association and
the Newfoundland and Labrador Proprietors Association. (OPEN - In House and
Provincial; TSN - In House and Provincial; CBC - In House and Provincial;
Masters - In House and Provincial; Youth Challenge - Provincial; Hi Low Doubles
- Provincial;
(f) Shall receive copies of all correspondence to any Executive Officer and ensure it is responded in a timely fashion.
(g) Shall send specific completed Tournament Forms to the Canadian 5 Pin Bowlers' Association (OPEN - In House and Provincial; TSN - In House and Provincial; CBC - In House and Provincial; Masters - In House and Provincial).
(h) Shall keep an accurate record of all membership cards and forward a copy of same to the Canadian 5 Pin Bowlers' Association in a timely manner.
(i) In the absence of an Executive Director, he/she shall maintain a register of all "record" scores for the Province and make this information available to all those who request same and to the website administrator.
(j) Shall uphold the Constitution of the

10.07 Executive Director
(a) The Executive Director shall hire all Office Staff upon approval of the Executive Officers. All salaries to be set up by a Committee comprised of the Executive Officers. The Executive Director shall not have a vote.
(b) Keep a true account, between the Association and its members, of any records and books as may determine by the Board of Directors or Executive Officers. From the Reports made to the Executive Director by the members of the Association, he/she shall compile and prepare, in books provided for the purpose. Keep a true and correct Bowling Record, and only Records made by a Bowler or a Team, a member of an Association identified with and a member of the Association and the records of any Tournament sanctioned by the Association shall be entitled to be received and recorded upon such records.
(c) Deposit all Association monies in the Bank to the credit of the Association.
(d) Make sure Reports and Statements to the President, the Executive Officers, Board of Directors and Voting Delegates as may be from time to time required.
(e) Perform such other duties as may from time to time be required of the Executive Director, by the President, or Executive Officers, or Board of Directors.
(f) At the Annual Meeting, make a Written Report of the past season with recommendations to the Association.
(g) Send to all applicable members, the summary of the Minutes of all Meetings as well as any Reports for their files and information.
(h) As an Officer of the Association, be an Ex- Officio member of the Executive Officers and an Ex- Officio member of all Committees of the Association.
(i) The Executive Director shall keep custody of the Association Seal (if any) and certify documents issued by the Association.
(j) Shall uphold the Constitution of the

10.08 Duties of the Technical Director
(a) Shall be appointed by the

(c) Shall complete a Lane Certification review of all bowling facilities in the Province, provided he/she obtains the Proprietor approval to complete same. He/she can delegate this review to other approved technicians, however, he/she will continue to maintain the ultimate responsibility for ensuring this is completed on a yearly basis.
(d) Shall be the Lead Course Conductor for all Level I and II courses within the Province. He/she shall ensure there are appropriate courses offered each year however, they can delegate the teaching of the courses to an accredited clinician.
(e) Shall keep a full and accurate account of all courses and lane certifications completed on behalf of the Association.
(f) Shall present a report of all significant aspects pertaining to their position, for the previous bowling season, to the Annual General Meeting of the Association.
(g) Shall have one (1) vote.
10.09 Duties of the Zone Presidents
(a) Attend the Annual, Semi Annual, and Special Meetings of the
(b) Shall oversee the operation of the Zone Association and shall have powers similar to the Provincial President except they are at a Zone level.

ELECTION OF EXECUTIVE OFFICERS
11.01 (a) Election of Officers to be conducted by Secret Ballot, majority to prevail. The president will cash his/her vote along with all others eligible to vote. If there is no majority, a short break will be taken after which time the Nomination and Election procedure will be followed until an Officer is elected.
(b) An Executive Officer wishing to run for election to another Office must resign his present Office.
12.01 The Signing Officers of the Association shall be any two (2) of the following:
(a) President and 1st Vice President
(b) President and Treasurer
In the absence of the President, the 1st Vice-President shall sign with the Treasurer.
13.01 The Fiscal Year of the Association shall commence on July 1st each year and terminate June 30th of the succeeding year.
14.01 All Deeds, Documents, Transfers, Contracts, Engagements, Bonds, Debentures and other instruments requiring the execution by the Association, shall be signed by the President and 1st or 2nd Vice President or Treasurer, as authorized by the Board of Directors or Executive Officers. Any such authorization may be general or confined to specific instances. Save as aforesaid, or as otherwise provided in the By Laws of the Association, no Officer, Agent or employee shall have the power or have the authority to bind the Association by any Contract, or engagement or to pledge its credit.
15.01 Any amendment of the By - Laws, must in writing at least sixty (60) days prior to the Annual General Meeting.
15.02 Changes or amendments to the By - Laws of the Association can only be decided at the Annual General Meeting. (This may be appealed or amended.)
16.01 The Board of Directors and Executive Officers shall see that all necessary books and records of the Association required by the By - Laws of the Association or by any applicable Statute or Law are regularly and properly kept.
17.01 The Board of Directors and Executive Officers of the Association may prescribe Rules and Regulations not inconsistent with these By - Laws relating to the Management and operation of the Association as they deem expedient, provided that such Rules and Regulations shall have force and effect only until the next Annual Meeting of the Board of Directors of the Association when they shall be confined, and failing such confirmation at such Annual Meeting of members shall at and from that time cease to have any force and effect..
